Troutman Pepper Advises American Tire Distributors in Sale of Canadian Subsidiary to Groupe Touchette

Troutman Pepper represented American Tire Distributors, Inc. (ATD) in the sale of its Canadian subsidiary, National Tire Distributors, Inc. (NTD), to Groupe Touchette Inc. Read a company press release about the strategic transaction.

ATD will continue supporting NTD and Groupe Touchette through its new commercial relationship, under which ATD will supply the combined company with its proprietary Hercules and Ironman brand tires and make its advanced analytics software and productivity-enabling tools available to Groupe Touchette’s network.

ATD is one of the largest independent suppliers of tires to the replacement tire market. It operates more than 115 distribution centers serving approximately 80,000 customers across the United States.

The Troutman Pepper team advising ATD was led by Chad Warpula and included Mason Bayler, David Carter, and Chelsea MacArthur (Corporate) and Howard Goldberg and Joel Post (Tax). The firm has counseled ATD since 2015, and Warpula has represented ATD since 1999, including actively serving as ATD’s General Counsel as part of the ATD management team.
