    Mason chairs the firm's Transactional Department and is a member of the firm's Management Team and Policy Committee.

    Mason is a partner in the firm's Corporate practice. His practice focuses on the representation of public and private companies in connection with mergers and acquisitions and security offerings. He is a 1995 graduate of Tulane University School of Law where he was on the Tulane Law Review and received his bachelor's degree from the University of North Carolina. A member of the American, Virginia, and Richmond Bar Associations, Mason also served as a law clerk for the late Honorable Robert R. Merhige, Jr. of the United States District Court for the Eastern District of Virginia.

    • Representation of private equity fund Arcapita in connection with the acquisition of Precision NDT.
    • Representation of Norfolk Southern Railway Company in connection with a $257 million Western Rail Initiative Agreement with Virginia Passenger Rail Authority.
    • Representation of American Tire Distributors in the sale of a Canadian subsidiary to Groupe Touchette.
    • Represented Dominion Energy, Inc. in $1.5 billion sale of interest in Blue Racer Midstream joint venture to First Reserve.
    • Represented The Brink's Company in $520 million acquisition of Dunbar Armored, Inc.
    • Represented Lumos Networks Corp. in connection with $950 million sale to EQT Infrastructure Fund.
    • Represented Union Bankshares Corp. in connection with $700 million acquisition of Xenith Bankshares, Inc.
    • Represented Windstream Holdings, Inc. in connection with $227 million acquisition of Broadview Networks Holdings, Inc.
    • Represented Access National Corporation in connection with $233 million acquisition of Middleburg Financial Corporation.
    • Represented energy holding company in connection with acquisition of numerous solar energy projects.
    • Designated underwriters counsel for SCANA Corporation and South Carolina Electric & Gas Company in connection with equity and debt offerings.
    • Represented StellarOne Corporation in connection with $445 million merger with Union First Market Bankshares Corporation.
    • Outside counsel to independent directors of Apple Hospitality REIT, Inc.
    • Represented Earthlink, Inc. in connection with numerous mergers and acquisitions.
    • Represented Apex Systems in connection with $600 million sale to On Assignment, Inc. and subsequent secondary offering of common stock.
    • Counsel to Disthene Group, Inc. in connection with settlement of shareholder litigation and related $80 million recapitalization.
