BOSTON – Troutman Pepper Locke advised Largo Inc. (TSX: LGO; NASDAQ: LGO) in its recent closings of both its registered direct offering and private placement where H.C. Wainwright & Co. acted as placement agent for both transactions. The registered direct offering involved the purchase and sale of 14,262,309 common shares of the company at a purchase price of US$1.22 per common share for aggregate gross proceeds of $17.4 million. The concurrent private placement with Arias Resource Capital Fund III L.P., an affiliate of the Company’s largest shareholder, provided the company with financing of an additional US$6 million where they acquired 4,918,033 common shares and 4,918,033 warrants on the same terms as the common shares and warrants issued pursuant to the registered direct offering.
