Deep experience in the tax equity markets – Pioneering many of the leading tax equity structures now prevalent in the market, we specialize in tax equity financings and other innovative forms of tax benefit monetization transactions. The firm’s deep tax bench sets us apart from others in the space and provides a framework for innovative collaboration and problem solving.
At the forefront of the emerging tax credit transfer market – Representing a wide range of sellers, buyers, and intermediaries, we assist clients with eligibility determination, risk assessment, and transaction structuring, including structures to facilitate ITC qualification and mitigate potential recapture risks.
Structuring first-of-its-kind power trading and selling arrangements – We support clients in a wide range of energy trading transactions ranging from offtakes with utilities and corporates using contracts for differences, to structuring financially and physically settled trades to hedge the output of storage, wind and solar projects.
Cutting-edge project financing experience – We help clients in all aspects of their project financing needs, including providing structuring and documentation support for credit facilities, private placements, innovative forms of mezzanine debt and equity structures, and the related credit support deliverables (tax insurance, guarantees, etc.).
Develop customized joint venture arrangements – We partner with clients to come up with tax efficient joint venture structures to address all forms of development, financing, and capital market activities.
Specialized renewable energy project development expertise – Our work touches on all aspects of project development, including engineering, procurement, supply, operation and maintenance, and construction contracts for renewable energy and infrastructure projects.
Robust renewable energy M&A practice – Our work in the M&A space ranges from small, early-stage project mergers and acquisitions, including single and multiple project M&A, all the way to large, public company transactions.
Nationally recognized energy regulatory practice – We advocate for clients before the Federal Energy Regulatory Commission (FERC) and state public utility commissions. Our involvement spans major regional transmission organization (RTO) markets, including ERCOT, MISO, PJM, SPP, CAISO, NYISO, and ISO-NE.
Handling key environmental issues – Our experienced environmental team advises on regulatory policy, litigation, permitting, compliance, due diligence, site remediation, enforcement defense, SEC disclosures, property rights, and environmental permits and reports, including wildlife and transmission studies for renewable energy projects.
Deep energy industry real estate and land use experience – Our attorneys have extensive experience in real estate acquisition, financing, and asset management for energy clients. We handle pipeline easements, ground leases (including restructuring leases), mergers, and acquisitions, managing title insurance, permitting, and compliance with regulations.
