  • Assisted in the representation of Western Midstream Partners, LP (NYSE: WES), a master limited partnership formed to develop, acquire, own, and operate midstream assets, in the following transactions:
  • An offering by its subsidiary, Western Midstream Operating, LP, of $800 million in aggregate principal amount of 5.45% senior notes due 2034.
  • An underwritten secondary public offering of 19,000,000 common units representing limited partner interests in Western Midstream Partners by affiliates of Occidental (NYSE: OXY) for gross proceeds of approximately $679.3 million.
  • Assisted in the representation of Kronos Worldwide, a leading global producer and marketer of value-added titanium dioxide pigments, and certain of its subsidiaries, in connection with the following transactions:
  • An amendment to Kronos’ global revolving credit facility that increased the facility from $225 million to $300 million and extended its maturity through 2029.
  • The acquisition from Venator Investments of the remaining 50% joint venture interest in Louisiana Pigment Company, L.P., not already owned by Kronos for $185 million (plus a potential earn-out of up to $15 million).
  • The issuance of €75 million of Kronos’ Senior Notes due 2029.
  • Assisted in supporting Old Republic International Corporation, a Chicago-based insurance holding company engaged in the business of insurance underwriting and related services, in its $400 million public offering of 5.75% senior notes due 2034.
  • Assisted in counseling Nutex Health Inc. (Nasdaq: NUTX), a publicly traded health care services and operations company, in its $10 million publicly registered direct offering.
