Katie assists private equity firms, their portfolio clients, and emerging high-growth companies with a variety of transactional needs. Her experience includes mergers and acquisitions, leveraged buyouts, debt and equity offerings, minority investments, corporate reorganizations, and general corporate counseling. Katie also serves as general outside counsel to both public and private companies, providing comprehensive legal support.

Katie also has experience in public finance, particularly in the issuance of tax-exempt and taxable bonds. She represents issuers and borrowers in general obligation and revenue bond transactions and serves as bond counsel to various cities, towns, and quasi-public agencies.

  • Assisted in representing Imugene Ltd. in a strategic transaction with Precision Biosciences in which Imugene received a worldwide exclusive license to Precision Bioscience’s allogenic CD19 CAR T-cell therapy program for oncology and a related manufacturing facility for total deal consideration valued up to $227 million.
  • Assisted in representing Ambac Financial Group Inc., a financial services holding company, in the purchase of a majority stake in Riverton Insurance Agency, Corp., a New Jersey-based insurance services business.
  • Assisted in representing Legacy Farms LLC, a leading fresh vegetable and fruit grower, shipper, and wholesaler to grocers and food service providers in the Western U.S., in the acquisition of Frieda’s, a California-based specialty produce distributor.
  • Assisted in advising Ambac Financial Group Inc., a financial services holding company, in the purchase of a majority stake in both All Trans Risk Solutions and Capacity Marine Corporation.
  • Assisted in representing Biohaven Pharmaceutical Company Ltd. (NYSE: BHVN) in the sale of its migraine business to Pfizer in a total deal consideration valued at approximately $13 billion.
  • Assisted in representing Greenbacker Capital Management in its investment in Sunrock Distributed Generation.
  • Assisted in representing Oscor, Inc., in its sale of $220 million to Integer Holdings Corporation.
  • Assisted in representing American Tower Corporation in the acquisition of data centers located in Orlando and Atlanta operated by DataSite.
  • Assisted in representing Silver Oak Services Partners, LLC, in the recapitalization of Drive Automotive Services, LLC.
  • Assisted in representing Enhanced Energy Group, Inc., operating as CarbonPoint Solutions, in its sale to Caterpillar Inc.
  • Assisted in representing Shanghai Haohai Biological Technology Co., Ltd., in connection with its $40 million Series A preferred equity investment in Eirion Therapeutics, Inc., and related licensing agreements.
  • Assisted in representing Silver Oak Services Partners, LLC, in its sale of BBG, Inc., to Incline Equity Partners.
  • Assisted in representing KPS Mid-Cap Investments, an affiliate of KPS Capital Partners, in the acquisition of Libertas Copper LLC.
  • Assisted in representing Biohaven Pharmaceutical Holding Company in its acquisition of the remaining 58% interest of Kleo Pharmaceuticals, Inc., which it did not previously own, and the execution of an exclusive license agreement with Yale University for a novel extracellular degrader technology licensed from the Spiegel Lab.
  • Assisted in representing the Seller of Falk Marques Group to Pageant Media US Limited.
  • Assisted in representing Biohaven Pharmaceutical Holding Company and its affiliate BioShin Limited in a $60 million Series A preferred equity financing of BioShin Limited, BioShin’s subsidiary.
