Representative Matters

Marc represents public and private companies, private equity funds, and institutional investors, with a particular focus on the energy industry. He provides counsel on public and private mergers and acquisitions, private equity-sponsored transactions, joint ventures, corporate restructurings, corporate governance matters, and other strategic commercial transactions.

Marc previously served as deputy general counsel to Steward Health Care System, where he managed the legal processes relating to M&A and other transactional activities globally. He advised on transaction structure, regulatory compliance, and other legal matters involving acquisitions, divestitures, joint ventures, partnerships, and similar arrangements throughout the U.S.

Marc has additional experience representing clients across a broad array of industries, including hospitality, health care, technology, real estate and business services, and manufacturing.

  • Represented Steward Health Care System in its $1.1 billion acquisition of five Miami-area hospitals from Tenet Healthcare, significantly expanding Steward’s footprint in the health care sector.
  • Represented Steward Health Care System’s international affiliate’s acquisition of three hospitals in Colombia.
  • Represented Brookfield Business Partners L.P. in the merger acquisition of Teekay Offshore Partners L.P.
  • Represented ArcLight Energy Partners Fund V, L.P. in acquiring the remaining common units of American Midstream Partners, LP.
  • Represented Eva-Last, a leading international composite building materials manufacturer, in its acquisition of Fortress Deck Products, the composite decking subsidiary of Fortress Building Products.
  • Represented Carlson in its sale of TGI Fridays® Restaurants to Sentinel Capital Partners and TriArtisan Capital Partners.
  • Represented Lucid Energy Group II in its acquisition of all outstanding stock of Agave Energy Holdings Inc. and the related purchase of certain assets from Agave Energy Company.
  • Advised CSL Capital Management, LLC, in its acquisitions of assets from Bayou Workover Services, LLC and Bayou Well Services, LLC.
  • Represented SunnyBrook Senior Living in its $164 million sale of a senior housing portfolio to American Realty Capital Healthcare Trust II.
