Mason R. Marek

Mason focuses his practice on corporate and transactional law, representing investors, lenders, and private companies in various transactions, including debt financings, mergers and acquisitions, and corporate and securities law matters. He represents clients ranging from early-stage technology companies and nonprofit organizations to solo entrepreneurs and established corporations. Mason assists clients with their corporate and general business needs, helping them to navigate complex legal landscapes effectively.

Previously, Mason’s work primarily centered around assisting early-stage technology companies, nonprofit organizations, and solo entrepreneurs with their corporate and general business needs.

• Assisted in representing Phoenix Tower International (PTI), a wireless communications infrastructure provider, in the combination, amendment, and restatement of five senior secured credit facilities, which consolidated PTI’s Spanish, U.S., and Chilean subsidiaries into a single $2.0 billion senior secured multifacility.
• Assisted in representing Peoples Gas System, Inc., in the issuance and sale of the company’s (i) 5.42% Senior Notes, Series A, due December 19, 2028, (ii) 5.63% Senior Notes, Series B, due December 19, 2033, and (iii) 5.94% Senior Notes, Series C, due December 19, 2053, in an aggregate principal amount of $925 million.
• Advised Table Talk Pies, a family owned baked goods manufacturer, in its sale to Rise Baking Company, a leading food manufacturing business.
• Assisted in representing Tampa Electric Company, a public utility company providing retail electric service in West Central Florida, in several transactions, including the issuance of a series of senior unsecured notes in an aggregate principal amount of $500 million through a public offering; a 364-day senior unsecured revolving credit facility with a total commitment of $200 million; and a 364-day syndicated senior unsecured revolving credit facility with a total commitment of $200 million.
• Assisted in representing Chicago Pacific Founders as the lead investor in a private investment in public equity (PIPE) offering by P3 Health Partners Inc., resulting in gross proceeds to P3 Health of approximately $90 million.
• Assisted in representing Main Street Capital Corporation in its $40 million first lien, senior secured term debt, and follow-on investment in an existing portfolio company, Gulf Manufacturing (GMI).
