Rachel’s practice focuses primarily on mergers and acquisitions, divestitures, corporate restructurings, joint ventures, and corporate governance and compliance. She has extensive experience in the energy sector, including midstream, oilfield services, renewables, and storage facilities.

Rachel represents major corporations and private equity firms in transactions ranging from $1 million to more than $3 billion.

  • Co-lead in the representation of Enterprise Products Partners L.P., one of North America’s leading providers of midstream energy services, in the acquisition of a natural gas gathering affiliate of Occidental, an international energy company and one of the largest oil producers in the U.S., in a debt-free transaction for $580 million in cash consideration.
  • Co-lead in the representation of an affiliate of Enterprise Products Partners L.P. in the acquisition of Navitas Midstream Partners, LLC, from an affiliate of Warburg Pincus for $3.25 billion and Piñon Midstream, LLC, a portfolio company of Black Bay Energy Capital, in a debt-free transaction for $950 million in cash consideration.
  • Co-lead in the representation of several transactions for Race Rock Infrastructure, a Houston-based manufacturer of critical infrastructure products and solutions for the transportation, energy transmission/distribution, telecommunications, and other end markets, including its acquisition of Texas Corrugators – Austin Division, LLC; its acquisition of Highway Safety LLC and Ohio Galvanizing LLC; and its acquisition of Structural and Steel Products, Inc., and its related entities, from Highland Capital Management.
  • Co-lead in the representation of BP Energy Partners, LLC (BPEP), a Dallas-based investment manager, in its sale of MIRATECH Corp.
  • Co-lead in the representation of ARB Midstream (ARB) in a merger to create a premier growth-oriented Denver-Julesburg (DJ) midstream company.
  • Co-lead in the representation of WM (formerly Waste Management) in its execution of definitive agreements for the acquisition of a controlling interest in Avangard Innovative’s U.S. business, which will operate as Natura PCR.
  • Lead in the representation of Spinnaker Oilwell Services, LLC, in its sale to RPC, Inc., for approximately $79.5 million in exchange for 100 percent of Spinnaker’s equity.
