Sarah is an associate in the firm’s Corporate practice. She works with public and private companies on a wide range of corporate matters, including equity and debt offerings, SEC reporting, corporate governance, and financial services matters.

Sarah received her J.D. from the University of North Carolina School of Law, where she was an articles editor for the North Carolina Law Review. Prior to attending law school, Sarah received her bachelor’s degree in political science and history from Vanderbilt University.

  • Represented companies with public offerings of debt securities, including:
    • $1 billion of senior notes issued by a gas and electric utility holding company.
    • $500 million of senior notes issued by the wholly owned subsidiary of an energy services holding company.
  • Represented companies with private placements of debt securities, including:
    • $260 million of senior notes by an energy services holding company.
    • $125 million of senior notes by a natural gas distribution company.
    • $100 million of senior notes by a natural gas distribution company.
  • Represented a company with at-the-market offering of up to $100 million in aggregate amount of preferred stock and/or senior notes.
  • Represented banks and nonbank financial service providers in structuring the bank as a service, and in sponsorship relationships and documenting such relationships with program agreements between the parties.
