Shumaila Dhuka

Shumaila focuses her practice on mergers and acquisitions, capital markets, and corporate matters, with a particular emphasis on the insurance and energy industries, including E&P, motor fuels, downstream and midstream companies, and renewable energy. She has represented a diverse range of clients, from unique providers of licensing and regulatory compliance for the nuclear industry to leading providers of oilfield cementing services and publicly traded midstream asset operators.

• Assisted in the representation of Enterprise Products Partners L.P. in its definitive agreement to acquire Piñon Midstream, LLC, a portfolio company of Black Bay Energy Capital, in a debt-free transaction for $950 million in cash consideration.
• Assisted in the representation of Western Midstream Partners, LP in an offering by its subsidiary, Western Midstream Operating, LP, of $800 million in aggregate principal amount of 5.45% senior notes due 2034.
• Assisted in the representation of Western Midstream Partners, LP in connection with an underwritten secondary public offering of 19,000,000 common units representing limited partner interests in Western Midstream Partners by affiliates of Occidental for gross proceeds of approximately $679.3 million.
• Assisted in the representation of Pinnacle Midstream in its sale to Phillips 66 for $550 million.
• Assisted in the representation of Tivoli Midstream, LLC, in its acquisition of strategic terminal and infrastructure assets located in the Gulf Coast of Texas in Brazoria County, known as the Chocolate Bayou Assets, from affiliates of Ascend Performance Materials, LLC, a global chemical and materials manufacturer.
• Represented Race Rock Infrastructure in its acquisition of Texas Corrugators – Austin Division, LLC.
• Represented Pelican Energy Partners Base Zero LP in its acquisition of the assets of Springs ATG, LLC, from Machine Build Technologies.
• Represented Excel Services Corporation, a unique provider of licensing and regulatory compliance for the nuclear industry, in its acquisition of IEPSON Consulting Enterprises, Inc., a premier specialty engineering company.
