Steve represents clients in a broad variety of corporate and transactional matters, including all aspects of joint ventures. He has substantial experience in the structuring, formation, financing, and governance of corporate and pass-through entities, such as general partnerships, limited partnerships, and limited liability companies.

Steve also has substantial experience representing real estate funds, real estate investment trusts (REITs), real estate developers, investment funds, institutional investors, startups, and other businesses and investors in asset and equity acquisitions and dispositions, mergers, debt and equity offerings, financing, and general corporate, transactional, and governance matters.

Joint Ventures, Funds, and Pass-Through Entities

  • Represent an investment fund as an investor in multiple joint ventures for the development of residential and multi-use real estate projects with total equity investments in excess of $200 million.
  • Represent a sponsor group in the formation and capitalization of a real estate fund and sponsor member, syndication of fund membership interests, and negotiations with the lender in connection with an investment in an affordable housing project in Pharr, TX.
  • Represent a real estate fund as both an investor and as a developer in multiple joint ventures for the development of residential, office, and multi-use projects with total equity value in excess of $100 million.
  • Represent an investment fund in a joint venture with a developer for the development of a mixed-use residential project in Minnesota.
  • Represent a financial services firm in connection with a series of joint ventures for the development of multiple office complexes valued in excess of $500 million, including the formation of REITs in an investment structure.
  • Represent a landowner in the negotiation of a joint venture and development agreement for an 800-acre residential project in Cedar Park, TX.
  • Represent an international developer in a joint venture and project finance for the development of a mixed-use project in Waco, TX.
  • Representation of numerous real estate developers, REITs, private investment funds, other businesses, and investors in structuring, reorganizing, negotiating, and documenting joint ventures structured as general partnerships, limited partnerships, or limited liability companies.

  • Represent buyers and sellers in strategic asset and equity sales.
  • Negotiate and draft operating agreements, employment agreements, equity and phantom equity grants, development agreements, marketing agreements, management agreements, services agreements, non-disclosure agreements, and other types of contracts for businesses, investors, and entrepreneurs.
  • Represent issuers and investors in private offerings of debt and equity.
