Terry has extensive experience handling complex transactions for all types of energy assets, including upstream, midstream, and downstream oil and gas assets, gathering systems, pipelines, processing plants, terminals, storage facilities, power plants, renewable energy assets, refineries, and district energy assets.

Terry routinely negotiates purchase and sale agreements, leases, exploration agreements, development agreements, operating agreements, construction contracts, terminal service agreements, farm-outs, crude oil, NGL and other commodity purchase agreements, processing agreements, exchange agreements, fractionation agreements, transportation agreements, storage agreements, gathering agreements, and numerous other types of energy and real estate-related agreements.

Terry is also actively involved in the development of domestic and international infrastructure projects, including the drafting and negotiation of project documents, such as power purchase agreements, off-take agreements, engineering, procurement, and construction (EPC) contracts, turbine purchase agreements, operation and maintenance agreements, long-term service agreements, financing agreements, and various other types of project development agreements.

Upstream

  • Advised Wildfire Energy in multiple acquisitions, including:
    • Acquisition of approximately 237,000 net acres and interests in 465 wells in the East Texas Eagle Ford from Apache Corporation and subsidiaries.
    • $1.425 billion acquisition of Chesapeake Energy Corporation’s Brazos Valley region of its Eagle Ford assets.
    • Acquisition of approximately 45,000 net acres and 200 operated wells in the East Texas Eagle Ford from MD America Energy, LLC.
    • Acquisition of Hawkwood Energy for approximately $650 million.
  • Counseled Range Resources Corporation in the sale of its Terryville Field assets in North Louisiana to Castleton Resources LLC for $245 million plus potential deferred compensation of up to $90 million.
  • Represented Spur Energy Partners LLC in an acquisition from Percussion Petroleum LLC of its Permian Northwest Shelf assets, as well as associated water and midstream assets.
  • Represented Carrizo Oil & Gas, Inc., in its $245 million sale of certain assets in the Eagle Ford Shale to EP Energy Corporation.
  • Advised WildHorse Resource Development Corporation in the acquisition of approximately 111,000 net acres and associated production from Anadarko Petroleum Corporation and affiliates of Kohlberg Kravis Roberts & Co L.P. for an aggregate consideration of $625 million.
  • Represented El Paso Energy in a $7.15 billion leveraged buyout to a private equity consortium led by Apollo Group.
  • Led SandRidge Energy in a $2.6 billion sale of oil and gas properties in the Permian Basin, Texas, to Sheridan Production Company.
  • Guided Memorial Production Partners LP in a $915 million acquisition of producing oil properties in Wyoming.

Midstream

  • Represented Enterprise Products Partners L.P. in multiple transactions, including:
    • Definitive agreement to acquire Piñon Midstream, LLC, in a debt-free transaction for $950 million.
    • Acquisition of Navitas Midstream Partners, LLC, through an affiliate of Enterprise Products Partners L.P. from an affiliate of Warburg Pincus for $3.25 billion.
    • $2.15 billion acquisition of crude oil, condensate, and natural gas gathering and processing assets (and related commercial agreements) in the Eagle Ford Shale, Texas, from Pioneer Natural Resources and Reliance Eagleford Upstream Holding LP.
  • Represented Duke Energy in connection with the formation of a joint venture with Dominion Resources, Piedmont Natural Gas, and AGL Resources to develop the Atlantic Coast Pipeline, a $5 billion natural gas pipeline project to transport natural gas from the Marcellus Shale and Utica Shale areas to Virginia and North Carolina.
  • Advised Southwestern Energy Company in a $500 million sale of natural gas gathering assets in the Marcellus Shale, Pennsylvania, to Howard Energy Partners.
  • Counseled a public energy company in the acquisition and development of gathering and processing assets with capacity in excess of 4 Bcf per day serving major fields in the Rocky Mountains, including the negotiation of gathering and/or processing agreements with Exxon, Chevron, BP, Shell, EnCana, Oxy, Marathon, Plains, Ultra, Williams, Whiting, Bill Barrett, Delta, MMS, Orion, Savage, Dominion, Arrowhead, DCP Midstream, Questar, and others.

  • Advised a foreign public investment company in a $160 million acquisition of district energy assets in two major U.S. cities.
  • Represented a public energy company in numerous propylene purchase, sales, processing, and exchange agreements.
  • Led a public energy company in all facets of the development of a 588-megawatt cogeneration plant.
  • Counseled an energy company in the acquisition of a 263-megawatt cogeneration plant located in Texas.
  • Represented a public energy company in the negotiation of an EPC contract for an electric power plant in Brazil.
  • Advised private energy companies in the negotiation of engineering, procurement, and construction contracts for ethanol and biodiesel projects in Texas.
