Troutman Pepper has a very active practice in corporate litigation in Delaware, including significant experience before the Delaware Court of Chancery, the premier venue in the U.S. for corporate litigation. Our team is thoroughly versed in the court’s rules and processes, and we are known and respected by the chancellor, vice chancellors, and peers in the Chancery bar.
We are experienced in commercial business disputes, corporate governance, and fiduciary duty disputes, including class actions and derivative lawsuits, actions arising out of mergers and acquisitions, requests for preliminary injunctions and other equitable relief in the corporate context, statutory proceedings under the Delaware General Corporation Law, including appraisal actions, and matters relating to Delaware alternative entities. We also are experienced in advising corporate board special committees, as well as conducting internal investigations into allegations of potential unlawful conduct.
We typically represent Delaware corporations and other business entities, entrepreneurs, stockholders and investment firms, directors, and CEOs and other senior management. We have also represented other entities, including foundations and trusts.
