Hannah focuses her practice on the representation of public companies in connection with corporate governance, Sarbanes-Oxley, securities regulations, NYSE and Nasdaq listing standards, and securities offerings (including 144A debt offerings). She advises public companies on compliance with federal securities laws, drafts public disclosure documents, and drafts and negotiates public offering documents. In addition to advising on governance and organizational matters, Hannah represents strategic purchasers and sellers in public and private mergers and acquisitions and in investment transactions.

  • Represented Quikrete Holdings, Inc. in its pending $2.74 billion acquisition of Forterra, Inc., a Nasdaq-listed manufacturer of water and drainage infrastructure pipe and products.
  • Served as company counsel for the $287.5 million private placement of senior notes by a global leader in cash management.
  • Represented a public utility holding company in connection with a $550 million registered convertible notes offering.
  • Represented purchasers and sellers in various merger and acquisition transactions.
