Kevin represents clients in public finance and corporate transactions. He has extensive experience in municipal and corporate debt financings and public-private partnerships (P3s). Kevin also handles private and public equity issuances, venture capital transactions, asset and stock acquisitions and dispositions, mergers, and general business law and contracts.

Kevin’s clients include underwriters, issuers, credit enhancers, trustees, developers, and governmental agencies. He acts as issuer’s counsel for the North Texas Tollway Authority and the Texas Natural Gas Securitization Finance Corporation, overseeing billions of dollars in revenue bonds and notes, and as disclosure counsel for the Oklahoma Capitol Improvement Authority in numerous state agency financings.

Kevin also has substantial experience in franchising, licensing, and distribution. He represents franchisors in establishing franchise programs, preparing domestic and international disclosure documents and franchise agreements, registrations with state agencies, establishing advertising programs, franchisee advisory councils, and purchasing cooperatives.

  • Acted as issuer’s counsel to the North Texas Tollway Authority for more than $25 billion in revenue bonds and notes, significantly contributing to the region’s transportation infrastructure.
  • Served as underwriters’ counsel on numerous public finance transactions involving transportation, water, sewer, utility, stadium, housing, higher education, school, and non-profit projects.
  • Served as disclosure counsel to the Oklahoma Capitol Improvement Authority for numerous state agency financings, ensuring transparency and regulatory compliance in public funding initiatives.
  • Advised HomeVestors of America in connection with its sale from Levine Leichtman Capital Partners, a private equity firm, to funds managed by Bayview Asset Management, a global investment management firm focused specifically on investments in finance, mortgage, and consumer credit.
  • Served as issuer’s counsel to the Texas Natural Gas Securitization Finance Corporation in connection with a $3.5 billion financing of extraordinary costs incurred by natural gas utilities during Winter Storm Uri in 2021.
