Tim represents public and private companies in a wide range of corporate and transactional matters, with a particular focus on the insurance sector. He assists clients with complex insurance transactions and regulatory issues, including acquisitions, divestitures, and joint ventures. Tim has a deep understanding of state and federal insurance regulatory changes, which he leverages to provide strategic counsel on compliance and risk management.

Tim’s experience includes advising on financial examinations, market conduct issues, licensing, corporate governance, and investment compliance. He also handles matters related to captive insurance, guaranty fund laws, provider risk sharing, Medicare, Affordable Care Act, and insurance privacy issues. Tim’s clients range from leading health insurers to private equity firms and large corporations involved in significant transactions. He has particular experience in the health care and health insurance sectors.

Tim drafts and negotiates various corporate and insurance documents, such as merger agreements, stock and asset purchase agreements, and reinsurance agreements.

  • National insurance and health care regulatory counsel to WellCare Health Plans in the $17.3 billion sale to Centene Corporation and related divestitures.
  • National insurance regulatory counsel for Aetna in the now-terminated $37 billion acquisition of Humana Inc. and related divestitures.
  • Represented VCU Health System in the sale of a majority stake in Virginia Premier Health Plan Inc. to Sentara Healthcare.
  • Provided legal counsel in multiple acquisitions, including the representation of Humana in the purchase of Concentra for $790 million; Arcadian Management Services with Medicare Advantage HMO plans having approximately 62,600 Medicare Advantage members in 15 U.S. states; Valor Healthcare; and others.
  • Represented Hannover Re in its acquisition of the U.S. individual life reinsurance business from Scottish Re Group Limited, generating an annual premium volume of $1.2 billion.
  • Represented Farmers Insurance Exchanges in the $1.9 billion purchase of 21st Century Insurance Group, strengthening Farmers’ market position in the insurance industry.
