Mark Silverman, Partner and CMBS Special Servicer Team Leader in Locke Lord’s Chicago office, has been honored with Connect Commercial Real Estate’s 2024 Lawyers in Real Estate Award for the third time. Clients will benefit from enhanced capabilities across the spectrum of legal services including but not limited to transactional, regulatory, intellectual property, and litigation.

The new firm is led by Cole, with David Taylor and Ashley Taylor serving as vice chairs. Amie Colby serves as managing partner.

December 6, 2024—Troutman Pepper counseled Deluxe, a payments and data company, through a senior secured notes offering and amendment of its existing credit facility earlier this week, enhancing Deluxe’s financial flexibility and extending its debt maturities to 2029. Senior Secured Notes Offering

Troutman Pepper represented Deluxe in connection with its $450 million aggregate principal amount of senior secured notes due in 2029, and advised on securities law compliance, regulatory filings, and transaction structuring. The team advising Deluxe included partners Steven Khadavi, Heather Ducat, and associates Hannah Offerle, and Caitlin Oh.

Credit Facility Amendment

The firm represented Deluxe in amending and restating its existing credit facility, establishing new senior secured credit facilities totaling $900 million, including a $400 million revolving credit facility and a $500 million term loan facility. The Troutman Pepper team advising the amendment included partners Justin Wood, Steven Khadavi, and associates Suzanne Soboeiro and Phillip Chason.

These efforts, were key to refinancing the company’s debt, maintaining its strong liquidity, and extending debt maturities to 2029 – a strategic move central to Deluxe’s long-term financial planning.

Troutman Pepper was selected by NVLSP staff for its exemplary work as a leading Lawyers Serving Warriors® partner. The firm has been instrumental in handling TSGLI (the Servicemembers’ Group Life Insurance Traumatic Injury Protection Program) cases, TSGLI advocacy and research projects, discharge upgrade cases, and Combat-Related Special Compensation cases. Since beginning its partnership with LSW in 2017, Troutman Pepper has significantly expanded its pro bono efforts.

In 2024 alone, Troutman Pepper has accepted 11 discharge upgrade cases, five TSGLI cases, three Combat-Related Special Compensation cases, and three appeals at the Board of Veterans’ Appeals. Additionally, the firm has undertaken two projects related to TSGLI, researching the retroactive applicability of regulatory amendments and drafting NVLSP comments on proposed regulatory changes to TSGLI’s ADL Loss standards.
